A Loan Agreement is typically a two-way bilateral contract that contains more elaborate lender covenants, borrower warranties, and extensive reporting obligations. For most private lending and standard financial transactions, a Promissory Note provides complete legal protection with fewer complexities.

An Unsecured Promissory Note relies solely on the borrower’s promise and financial creditworthiness to repay. A Secured Promissory Note pledges specific collateral (such as a vehicle, real estate, equipment, or valuable personal property). If the borrower defaults, the lender has the legal authority to claim and liquidate the pledged collateral to satisfy the outstanding note balance.

Yes. A Promissory Note can be structured as interest-free or with fixed annual percentage interest (Simple or Compounded monthly/quarterly/annually). It can also specify a grace period, late payment charges (fixed or percentage), and default interest rates applied when payments are overdue, subject to state/provincial usury caps.
